Terms and Conditions
These Terms and Conditions govern the provision of consulting and staffing services I to clients – By engaging with Super TSI for consulting or staffing services, you agree to abide by the terms outlined below.
Services Provided
Super TSI offers consulting and staffing services that include, but are not limited to:
- Strategic advisory
- Project management
- Temporary and permanent
- staffing solutions
- Talent recruitment and placement
- Specialized expertise and training
Payment Terms
- Rates: Super TSI’s fees are detailed in the agreement or invoice provided at the time of engagement.
- Invoicing & Payment: Invoices are issued upon completion of milestones or monthly, as agreed upon with the Client. Payment is due within [X] days from the date of the invoice.
- Late Fees: A late fee of [X]% per month may be applied to overdue invoices.
- Expenses: The Client agrees to reimburse Super TSI for pre-approved, reasonable, and necessary expenses incurred while providing the Services.
Duration & Termination
- Term of Agreement: This Agreement is effective upon acceptance and will continue until the completion of the Services, unless terminated earlier as provided herein.
- Termination for Convenience: Either party may terminate this Agreement upon [X] days’ written notice to the other party.
- Termination for Cause: Super TSI may terminate this Agreement immediately if the Client fails to comply with its payment obligations or breaches any other material terms of this Agreement.
- Effect of Termination: Upon termination, the Client shall pay all outstanding fees due for Services rendered up to the date of termination.
Confidentiality
- Both parties agree to keep confidential all proprietary information, trade secrets, and other sensitive data obtained during the course of the relationship.
- This confidentiality obligation will remain in effect even after the termination of this Agreement.
Intellectual Property
- Any intellectual property created by Super TSI in the course of providing the Services (including reports, documents, and software) remains the property of Super TSI .
- The Client may only use such materials for internal purposes unless explicitly granted permission by Super TSI.
Warranties & Disclaimers
- Consulting & Staffing Services: Super TSI makes no warranty regarding the success or effectiveness of the Services, but will use commercially reasonable efforts to deliver high-quality results.
- No Liability for Indirect Damages: Super TSI will not be liable for any indirect, consequential, or punitive damages arising out of this Agreement.
Indemnification
The Client agrees to indemnify and hold harmless Super TSI, its employees, agents, and contractors from any claims, damages, losses, or liabilities arising from the Client’s use of the Services, provided that such claims were not caused by Super TSI’s gross negligence or willful misconduct.
Limitation of Liability
To the maximum extent permitted by law, Super TSI’s liability for any claim arising out of or related to this Agreement will be limited to the total amount paid by the Client for the Services in the [X] months prior to the event that gave rise to the claim.
Independent Contractors
Super TSI and the Client acknowledge that the relationship between the parties is that of independent contractors. Nothing in this Agreement shall be construed to create a partnership, joint venture, or employer-employee relationship.
Force Majeure
Neither party shall be liable for failure to perform its obligations under this Agreement due to circumstances beyond its reasonable control, including but not limited to natural disasters, strikes, labor disputes, or government actions.
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of without regard to its conflict of law principles.
Dispute Resolution
Any disputes arising from or related to this Agreement shall be resolved in accordance with the rules.
Amendments
Super TSI reserves the right to amend these Terms and Conditions at any time by posting a revised version on the website or by providing written notice to the Client. The revised terms will be effective as of the date of posting or notice.
Severability
If any provision of this Agreement is found to be invalid or unenforceable, the remainder of the Agreement will remain in full force and effect.
Entire Agreement
This Agreement constitutes the entire understanding between the parties and supersedes all prior or contemporaneous agreements, whether written or oral, relating to the subject matter herein.
By engaging Super TSI’s Services, the Client acknowledges and agrees to these Terms and Conditions.
